For example I have such audiences intersection - http://prntscr.com/d6hahn
Should I exclude #1 from #2 or conversely to get higher perfomance?

Hello!
This audiences is too small. And if you "exclude #1 from #2 or conversely" - you will don't get higher performence. My advise - don't split this audiences.

ok, for example
#1 au is 300k
#2 1200k

i guess there's some risk that #2 will cross #1 often and ads will compete between each one

Use the audience overlap tool to see their overlap explicitly.

If the overlap is quite high, I would certainly explore testing (A - B), (B - A), and if possible, A && B i.e. the uses who are in both A and B.

If the audience overlap is low, there isn't a great need to exclude them anyway (and you can't assume that the people in both audiences aren't actually the best prospects for you).

what overlap explicitly limit do you use?

I can't say I have one, I would just wing it. You need to test things here anyway so there is little point having some yes/no cut-off. If you need one.... 10%.
