Basic Insertion Order Template

Currently setting up a direct buy and I'm surprised the agency I'm buying from just want's to use an invoice for the transaction. I asked about an IO and they said to "send one over if I need one to be signed". It's only a 7 day 500$ test buy, but I was under the impression that an IO should always be used when buying traffic directly or the agency your buying from could potentially screw you over. It's a reputable agency but I just want to make sure all my bases are covered because it is adult traffic and fishy sh*t can happen.

Does anyone have a basic IO form that they use for situations like this when the site your buying traffic from doesn't provide their own IO?

That looks fine mate, just make sure you add ALL the agree points. The GEO, CPM/CPC, the site/sites. Also you should have a 48 hour out clause. If the traffic source is really fishy and your campaign is unique, you can ask for exclusivity of your angle/campaign for as long as you are buying.

^^^ Whats 'out clause'? I keep hearing it but don't know what it exactly means.

Out-clause means you can bail on the buy mid buy if you have to for some reason (offer gets dropped or something). But a 48 hour out-clause means after you tell them to cancel your buy they can still run it and for an additional 48 hrs. Also, if you don't have even delivery clause they can screw you over and flood you with all your remaining impressions in that 48 hr time span.

I thought out clauses were not standard for adult traffic? Are you typically able to get them? Guess it wont hurt for me to ask for one.

Maybe its a stupid question.But what if i sign IO and they breach the terms of the IO or deny to honor the out clause or seomething, what can be done in that scenario?
You go and sue them or what ? I mean is this a legal document, what can happen if it is US company and i am INTL buyer?
And what about if i am buying from INTL ad network does the IO holds the same power as in the US?

Out clauses is standard for all traffic, but in your case, i think $500 will go faster than out request.
Unless you set daily cap in IO.

You can sue them, but also the rumor of them not respecting the IO will spread so fast that they will lose 100x
more $$$ in long term.
